End User License Agreement

This End User License Agreement ("EULA") is a binding contract between you (the "End User" or "you") and Inventory Connect LLC ("Inventory Connect," "we," "us," or "our"), the provider of the InventoryConnect.io software-as-a-service platform (the "Software").

The Software is licensed, not sold. By creating an account, signing in, or otherwise accessing the Software, you accept this EULA. If you are accepting on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not access or use the Software.

This EULA works alongside the Terms of Service (which govern the broader commercial relationship — fees, support, warranty, liability, dispute resolution) and the Privacy Policy (which governs how we handle personal information). To the extent of any conflict between this EULA and the Terms of Service, the Terms of Service control.


1. License grant

1.1 Limited license. Subject to your continued compliance with this EULA and the Terms of Service, including timely payment of any applicable fees, Inventory Connect grants you a limited, non- exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software during the term of your account, solely for your internal business operations.

1.2 Authorized users. You may permit your authorized employees, owners, contractors, or agents to use the Software on your behalf ("Authorized Users"). Each Authorized User must accept this EULA before using the Software. You are responsible for the acts and omissions of your Authorized Users as if they were your own.

1.3 No software delivery. The Software is hosted by Inventory Connect and accessed over the internet. You are not granted any right to a copy of the Software's underlying source code, object code, binaries, or any "downloadable" component.


2. Restrictions

You will not, and will not allow any Authorized User or third party to:

  • Copy, modify, translate, or create derivative works of the Software.
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or trade secrets of the Software, except to the extent expressly permitted by applicable law.
  • Sell, resell, rent, lease, sublicense, distribute, white-label, or otherwise transfer your rights under this EULA to any third party without our prior written consent.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notice on the Software.
  • Use the Software to develop, train, or improve any competing product or service.
  • Use the Software in any way that violates applicable law, infringes intellectual-property rights, or breaches the acceptable-use rules in Section 4 of the Terms of Service.
  • Bypass, disable, or interfere with security, authentication, or rate-limit features.
  • Access the Software using automated tools, scrapers, or bots outside of documented APIs and within published rate limits.
  • Use the Software to send spam, malware, phishing, or unsolicited communications (including via integrations such as Klaviyo, Twilio, or generic webhooks).

3. Ownership

3.1 Inventory Connect's rights. The Software, the InventoryConnect.io brand, all underlying technology, and any improvements or derivative works are and remain the exclusive property of Inventory Connect and its licensors. All rights not expressly granted to you under this EULA are reserved.

3.2 Your rights. You retain all rights, title, and interest in the Customer Data you input, upload, or generate while using the Software. The license you grant Inventory Connect over your Customer Data is described in Section 3 of the Terms of Service.

3.3 Feedback. If you submit ideas, suggestions, bug reports, or other feedback, you grant Inventory Connect a perpetual, irrevocable, royalty-free license to use that feedback to improve the Software, without obligation or compensation to you.


4. Third-party components and integrations

4.1 The Software incorporates open-source and third-party software components (collectively, "Third-Party Components"). Each Third-Party Component is licensed under its own terms, which apply in addition to this EULA.

4.2 The Software lets you connect optional third-party services such as QuickBooks Online, Shopify, Klaviyo, Stripe, Authorize.net, Cloudflare R2, Resend, Vercel, Neon, Twilio, and Facebook Lead Ads. Your use of those services is governed by their own terms and privacy policies. Inventory Connect is not responsible for the acts, errors, or data practices of third-party services.


5. Updates and changes

5.1 We may update, modify, or replace any part of the Software at any time. Updates may add, change, or remove features. Critical breaking changes will be communicated via email to the account owner where practical.

5.2 We may revise this EULA from time to time. Material changes will be communicated via email or in-app notice at least 30 days before they take effect. Continued use of the Software after the effective date constitutes acceptance of the revised EULA.


6. Termination

6.1 Termination by you. You may terminate this EULA at any time by closing your account in accordance with Section 8 of the Terms of Service.

6.2 Termination by us. We may suspend or terminate your license immediately, with or without notice, if you breach this EULA or the Terms of Service, fail to pay fees when due, use the Software in a way that risks material harm to Inventory Connect or other customers, or if required by law.

6.3 Effect of termination. On termination, your license to use the Software ends immediately. Sections 2, 3, 7, 8, 9, and 11 of this EULA survive termination. Data export and deletion are governed by Section 8 of the Terms of Service.


7. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVENTORY CONNECT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.


8. Limitation of liability

The limitations of liability set forth in Section 10 of the Terms of Service apply to this EULA and are incorporated by reference. In no event will Inventory Connect's aggregate liability arising out of or related to this EULA exceed the cap set forth in Section 10.3 of the Terms of Service.


9. Export compliance

You will comply with all applicable U.S. and international export control, sanctions, and re-export laws, including the U.S. Export Administration Regulations and the regulations administered by the U.S. Treasury Department's Office of Foreign Assets Control. You represent that you are not located in, and will not access the Software from, any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government denied-party list.


10. U.S. government end users

If you are a U.S. federal government end user, the Software is "commercial computer software" and "commercial computer software documentation" under FAR 12.212 / DFARS 227.7202. The Software is licensed to U.S. government end users only with the rights granted to all other end users under this EULA.


11. General

11.1 Governing law and dispute resolution. This EULA is governed by, and any disputes resolved under, the same governing-law and dispute-resolution provisions as Section 12 of the Terms of Service (California law; binding individual arbitration administered by JAMS; class-action waiver).

11.2 Entire agreement. This EULA, together with the Terms of Service and Privacy Policy, is the entire agreement between you and Inventory Connect regarding your use of the Software, and supersedes any prior agreements on that subject.

11.3 Severability. If any provision of this EULA is held unenforceable, the remaining provisions remain in full force and effect.

11.4 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

11.5 Assignment. You may not assign this EULA without our prior written consent. We may assign this EULA to an affiliate or in connection with a merger, acquisition, or sale of assets.

11.6 Notices. Notices to you may be given by email to the address on file or by in-app notice. Notices to us must be sent to support@inventoryconnect.io with a copy to Inventory Connect LLC at the address listed in Section 14 of the Terms of Service.
